. . . Offer to sell Walden 3-D, Inc.'s rights to the Infinite Grid^SM

In August of 1996, Walden 3-D, Inc. did the first project with the Infinite Grid^SM (see http://www.walden3d.com/SIC).

Since that time, Walden 3-D, Inc. and it's incubated companies have used the Infinite Grid^SM on many projects. All published projects have been copyrighted, and whenever the words "Infinite Grid" have been used they have included an ^SM or ServiceMark. Walden 3-D finds this technology to be extremely useful, and sees a tremendous sleeping business opportunity around Infinite Grid^SM technology. Walden 3-D wants to use the Infinite Grid^SM technology on many existing and planned projects. However, Walden 3-D has other projects which have higher priority, and thus is making the following offer to sell its rights to the Infinite Grid^SM:

• Upfront cash payment of US$250,000.
• 5% royalty on all profits from sales of Infinite Grid^SM products and services, after investor recovers up front cash payment from Walden 3-D, Inc.'s 5% royalty.
• rights for Walden 3-D, Inc. and incubated companies to use the Infinite Grid^SM products and services in exchange for covering actual costs of hardware and services.
